2. Eligibility

3. Use License

We grant you a limited, non-exclusive, non-transferable license to access and use our website for lawful purposes only. You agree not to:

System Testing and Commissioning

  • All systems will be thoroughly tested before handover
  • Client training will be provided on system operation
  • A warranty period applies to all work performed (details in service agreement)

Maintenance and Support

  • Ongoing support is available through phone, email, and on-site visits
  • Emergency support is available during business hours
  • Additional fees may apply for services beyond the initial installation warranty

8. Payment Terms

  • Payment terms will be specified in individual service agreements
  • Deposits may be required to secure project scheduling
  • Invoices are due upon receipt unless other terms are agreed
  • Late payments may incur interest charges of 1.5% per month
  • We reserve the right to suspend services for non-payment

9. Cancellation and Refunds

  • Consultation cancellations should be made 24 hours in advance
  • Project cancellation terms will be defined in your service agreement
  • Refund policies are determined by the specific services contracted

10. Client Responsibilities

You agree to:

  • Provide accurate information about your property and automation needs
  • Maintain clear access to areas requiring installation work
  • Comply with all applicable local codes and regulations
  • Obtain necessary permits (we can advise but may not obtain them)
  • Disclose any existing systems or hazards that may affect installation
  • Make timely decisions to avoid project delays

11. Warranty and Remedies

We warrant that installation work will be performed in a professional and workmanlike manner according to industry standards. Warranty coverage details will be provided in your service agreement.

Our remedies are limited to: repair or replacement of defective work. This is your exclusive remedy for any breach of warranty.

12. Third-Party Products and Integrations

We integrate products and platforms from third parties including Loxone, Lutron, Sonos, and others. We are not responsible for:

  • Third-party product defects or failures
  • Changes to third-party APIs or services
  • Cloud service outages or discontinuation
  • Third-party warranty or support

13. Limitation of Services

  • We provide services within our designated service area (Cape Cod and New England)
  • We may decline projects outside our expertise or service areas
  • Availability of services depends on current project load and scheduling

14. Confidentiality

We will maintain the confidentiality of information you provide, except as required by law or to our service partners necessary to complete your project. We do not share customer information with third parties for marketing purposes without consent.

15. Indemnification

You agree to indemnify and hold harmless X Building Automation, its owners, employees, and agents from any claims, damages, or expenses (including legal fees) arising from:

  • Your violation of these Terms
  • Your misuse of our services
  • Your infringement of third-party rights
  • Claims arising from your property or systems

16. Dispute Resolution

Informal Resolution

Before pursuing formal action, we encourage you to contact us to resolve disputes informally.

Governing Law

These Terms are governed by the laws of the Commonwealth of Massachusetts, without regard to conflict of law principles.

Jurisdiction and Venue

You agree to submit to the exclusive jurisdiction of the state and federal courts located in Massachusetts for any legal proceedings.

Limitation on Claims

Any legal action must be brought within one year of the cause of action.
